These Terms of Service ("Terms") govern your access to and use of ValueCopilot (the "Service"), operated by Ben Xie ("we", "us", or "our") from California, United States. By accessing or using the Service, you agree to be bound by these Terms.
1. The Service
ValueCopilot is an AI-assisted research platform for investment analysis. The Service helps you build structured investment theses, calculate discounted cash flow (DCF) valuations, and monitor those theses against new financial data.
The Service is for informational and educational purposes only. It is NOT financial advice, investment advice, tax advice, or any other professional advice. Outputs from the Service, including AI-generated analyses and calculations, may contain errors, omissions, or inaccuracies. You are solely responsible for verifying any information before making investment decisions. Past performance does not predict future results.
2. Account & Eligibility
You must be at least 18 years old and capable of entering into a binding contract under California law to use the Service. You are responsible for keeping your account credentials secure and for all activity under your account.
3. Subscription Plans, Billing & Refunds
The Service offers a free playground tier and several paid subscription plans (Starter, Pro, Premium). Paid plans are billed monthly or annually via our merchant of record (currently Paddle). By starting a paid subscription, you authorize us (through our merchant of record) to charge your payment method on a recurring basis until you cancel.
Refunds are governed by our Refund Policy.
You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of your current billing period, and you retain access to paid features until then.
4. AI-Generated Content
The Service uses third-party AI models (including but not limited to those provided by Anthropic) to generate research, valuations, and explanations. AI outputs are probabilistic and may be incorrect, incomplete, or misleading. Specifically:
- AI-generated analyses are not reviewed by a human analyst before delivery.
- Financial data sources may have errors, delays, or stale prices.
- DCF calculations depend on your inputs and assumptions, which you control.
- The Service may produce different outputs for the same input over time.
You agree to independently verify all AI-generated content before acting on it.
5. Acceptable Use
You agree not to:
- Reverse-engineer, scrape, or programmatically extract data from the Service
- Resell, redistribute, or commercialize Service outputs without permission
- Use the Service to violate any law or third-party right
- Attempt to bypass usage quotas, rate limits, or paywall mechanisms
- Use the Service to provide investment advice to third parties (you may use it for your own research only)
- Share your account credentials with others
6. Intellectual Property
We own all rights in the Service software, branding, and underlying systems. You retain ownership of any investment thesis content you create within the Service. By using the Service, you grant us a limited license to process, store, and display your content as necessary to provide the Service.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Outputs will be accurate, complete, current, or reliable
- The Service will meet your specific needs
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE.
Our total aggregate liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.
You are responsible for your own investment decisions. We are not liable for any investment losses you incur, whether or not those losses were related to information you obtained from the Service.
9. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may terminate your account at any time by canceling your subscription and deleting your account from your settings.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in California.
